These Terms of Use govern your access to and use of the Elite Private Rides Driver and Passenger applications and website.
1. Agreement to These Terms
These Terms of Use ("Terms") are a DRAFT for attorney review and form a binding agreement between you and Elite Private Rides (operated by Elite Rides Technologies LLC, subject to counsel confirmation of contracting party) when finalized and accepted. They govern your use of the Elite Private Rides mobile applications and the website at https://eliteprivaterides.com (the "Services"). By creating an account, accessing, or using the Services, you agree to these Terms, the Privacy Policy, and other policies referenced herein (including the Driver Agreement and Community Guidelines where applicable to drivers). If you do not agree, do not use the Services. The English version controls until a Spanish translation is reviewed by counsel and published.
2. Eligibility
You must: • Be at least 18 years old (or the age of majority in your jurisdiction, if higher) • For driver use: hold a valid driver's license and legally required insurance and vehicle credentials for the jurisdiction in which you drive • Successfully complete Elite Private Rides identity, document, and eligibility checks when required for your account type • Not be prohibited from using the Services under applicable law or a prior deactivation for cause We may refuse, suspend, or terminate access if eligibility requirements are not met or maintained.
3. Your Account
You may create an account using email and password, phone, Google, or Apple through Firebase Authentication (as enabled for your product). You agree to: • Provide accurate, current information • Keep your credentials confidential and notify us of unauthorized use • Use only one account of each required type unless we expressly authorize otherwise • Complete identity verification (including selfies reviewed by humans and, when configured, face matching by verification providers) and document uploads when requested You are responsible for activity under your account. We may require re-authentication before sensitive actions such as account deletion.
4. Account Security and Official Communications
Elite Private Rides support will never ask for your password, full payment card details, or one-time verification codes by email, SMS, chat, or phone. Official communications and links use https://eliteprivaterides.com or in-app channels. Report phishing or impersonation to support@eliteprivaterides.com. Do not share verification codes with anyone. If you did not request a code, ignore it and contact support from the email address on your account.
5. License to Use the Services
Subject to these Terms, Elite Private Rides grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for lawful participation on the platform. We retain all rights in the Services, branding, software, and content. You may not copy, modify, reverse engineer, scrape, or create derivative works except as allowed by law.
6. Independent Contractor Relationship (Drivers)
Unless a written agreement signed by Elite Private Rides states otherwise, drivers using the Driver application are independent contractors and not employees, agents, joint venturers, or partners of Elite Private Rides. Drivers control whether and when they go online (subject to eligibility and safety rules). Drivers are responsible for their own taxes, insurance (beyond any platform requirements stated elsewhere), and expenses. See the Driver Agreement for additional terms. This section does not redefine passenger users as contractors.
7. Acceptable Use
You must comply with the Acceptable Use Policy and Community Guidelines. Prohibited conduct includes fraud, safety violations, harassment, unauthorized data access, spoofing location, using modified/unofficial clients, and circumventing App Check or security controls.
8. Trips, Fares, and Payouts
Trip matching, fares, and earnings displays are provided through the Services. When Stripe Connect is enabled for your account or region, payouts may be processed through Stripe Connect subject to Stripe's terms and our payout rules. Until Stripe Connect is enabled, payout features may be unavailable or limited. Fare and earnings calculations may be adjusted for cancellations, tolls, adjustments, chargebacks, or error correction. Elite Private Rides does not guarantee a minimum volume of trip requests.
9. Location and Maps
The Services use device location (Geolocator) and Google Maps-related functionality. You must grant necessary permissions to go online and complete trips. Location practices are described in the Location Policy and Privacy Policy.
10. Electronic Communications
You consent to receive electronic communications as described in the Electronic Communications Consent, including push notifications via Firebase Cloud Messaging (FCM), in-app messages, and email.
11. Suspension, Deactivation, and Appeals
We may suspend or deactivate access for safety, fraud, policy violations, legal compliance, or operational reasons. You may submit an appeal as described in the Appeal Policy and Deactivation Policy.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELITE PRIVATE RIDES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT MAPS, LOCATION, OR DISPATCH WILL BE ACCURATE AT ALL TIMES.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELITE PRIVATE RIDES AND ITS AFFILIATES, OFFICERS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING FROM YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID TO YOU THROUGH THE SERVICES IN THE THREE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.
14. Indemnification
You will defend, indemnify, and hold harmless Elite Private Rides and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services (including driving when you are a driver), your breach of these Terms or policies, your violation of law, or your infringement of third-party rights.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of [Jurisdiction TBD — attorney to insert], excluding conflict-of-law rules. Dispute resolution procedures (including any arbitration or class-action waiver) will be finalized by counsel before publication. Until then, courts of competent jurisdiction will hear disputes subject to applicable law.
16. Changes and Termination
We may modify these Terms by posting an updated version with a new effective date and version number. Material changes will be communicated where appropriate. We may suspend or terminate the Services or your access at any time subject to applicable law and our policies. Provisions that by nature should survive (including disclaimers, limitations, and indemnity) will survive termination.
